Larger or customized engagements are normally governed by a Master Services Agreement (MSA) plus one or more Statements of Work (SOWs), order forms, or service schedules. This public page explains the structure; the signed documents are the binding agreement.
This public policy applies unless a signed agreement, order form, statement of work, data processing addendum, or product-specific terms expressly provide otherwise.
Master Services Agreement
The MSA establishes baseline commercial terms that can apply across multiple projects, such as confidentiality, intellectual property, payment, warranties, security, data protection, liability allocation, termination, dispute resolution, and general legal terms.
Statements of Work and orders
Each SOW or order describes the specific project or service, including scope, assumptions, responsibilities, milestones, deliverables, dependencies, fees, billing schedule, acceptance criteria, service levels, and change-control process where applicable.
Change control
Material changes to scope, timeline, integrations, deliverables, data requirements, or customer dependencies should be documented through a written change order, updated SOW, or other mutually accepted record before the additional work is treated as committed scope.
Customer responsibilities
Customer responsibilities may include timely access, decisions, credentials, content, data, subject-matter expertise, third-party permissions, security requirements, and testing or acceptance. Delays in customer dependencies may affect schedule, cost, or service levels.
Intellectual property
A signed agreement should distinguish Customer Content, custom deliverables, KavaCore background technology, third-party materials, open-source software, generalized know-how, and reusable components. Ownership and license terms are determined by the signed agreement rather than this summary.
Data protection and security
If KavaCore processes personal data on the customer’s behalf, the Data Processing Addendum may apply. Security responsibilities and customer-specific controls may be documented in the MSA, SOW, security schedule, or SLA.
Order of precedence
The signed documents should state their order of precedence. Unless they say otherwise, a specific SOW or order generally controls over a general public policy for the specific service, and an executed DPA controls on data-protection issues.
